TERMS OF SERVICE

1. Introduction and Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you and House And Land Packages Pty Ltd (ABN 92 631 641 408) ("HALP"). By accessing or using any of our websites, platforms, or services, you agree to be bound by these Terms. For Advertisers, these Terms also include the Listing Agreement, which is incorporated by reference. In the event of any inconsistency between these Terms and the Listing Agreement regarding listing specifics, the Listing Agreement shall prevail.

These Terms apply to all HALP platforms including www.halp.com.au, www.boutiquedevelopments.com.au, associated mobile applications, and any related websites, features, or services within our network.

By accessing or using our services, you acknowledge that you have read and understood these Terms, agree to be bound by these Terms and our Privacy Policy, represent that you are at least 18 years of age, and represent that you have the authority to enter into this agreement. If you do not agree, you must cease using our services.

We reserve the right to modify these Terms at any time. We will update the "Last Updated" date, notify registered users via email, prominently display material changes, and changes take effect immediately upon posting unless otherwise specified. Continued use constitutes acceptance.

2. Description of Services

HALP operates specialized property discovery and business directory platforms providing: Property Services (house and land package listings and searches, off-the-plan property information, new development project details, boutique and luxury property showcases, school zone integration and mapping, property calculators and tools, mortgage broker connections, property market insights and guides); Business Directory Services (professional business listings on a freemium model, enhanced visibility for premium subscribers, lead generation and inquiry management, business profile management, multi-platform advertising reach); Supporting Services (property alerts, saved searches, mortgage and finance calculators, educational content, market research, CRM integration).

HALP is an information and advertising platform. We facilitate connections between property seekers and providers, aggregate and display property and business information, and provide research tools. We are not a real estate agent, developer, builder, or financial advisor. Property listing inquiries go directly to the listing agent, developer or builder — HALP does not store or process them. Platform inquiries (Contact Us, Join Us, Advertise With Us) are collected and managed by HALP. No agency relationship is created.

Services are provided "as is" and "as available". We may modify, suspend, or discontinue services at any time. Scheduled maintenance may cause temporary interruptions. Our services are delivered through AWS (hosting and backups), Synergywholesale (DNS & hosting), Google Workspace (business email), Stripe (payments), Pipedrive and ActiveCampaign (CRM), and Zapier (automation). These providers may change from time to time and may differ between staging and production environments.

3. User Accounts and Registration

To access certain features you may need to create an account. You must provide accurate current and complete information, maintain confidentiality of your credentials, be at least 18 years of age, create only one account per person, and provide a valid ABN/ACN for business accounts. You are responsible for all activities under your account and must notify us immediately of unauthorized access. We may suspend or terminate your account for breach, false information, fraudulent or illegal activity, non-payment, or extended inactivity. You may terminate your account by contacting support@halp.com.au.

4. User Conduct and Prohibited Activities

You agree to comply with all applicable laws, use services only for lawful purposes, provide accurate information, respect intellectual property, and act in good faith.

You must not misuse the platform (automated systems, disruption, unauthorized access, reverse engineering, circumventing security); post harmful content (false, misleading, or deceptive information, malware, spam, phishing, impersonation); engage in illegal activities (violating laws, infringing IP, money laundering, fraud, illegal property transactions); abuse or harass others (threats, discrimination, privacy violations, stalking); or misuse commercially (reselling services, competing use, scraping listings, multiple accounts to circumvent restrictions).

Violations may result in immediate account suspension or termination, content or listing removal, legal action and damages claims, reporting to law enforcement, or permanent bans.

5. Property Listings and Information

Property listings are provided and owned by property developers, builders, real estate agents and agencies, project marketing companies, and third-party data providers. HALP does not own or control third-party listings, verify all information, endorse any provider, or guarantee availability or pricing.

While we make reasonable efforts to ensure accuracy, property information may change without notice; prices, availability and specifications are subject to change; images and renderings may not reflect the final product; land sizes and dimensions are approximate; school zone information is provided for reference only. Always verify critical information directly with the property provider before making decisions. We expressly disclaim all warranties on accuracy, completeness, currency, availability, fitness for purpose, and title/condition/quality.

School zone data is sourced from government databases and third-party providers, provided for general reference only, subject to change, and not guaranteed to be current or accurate. Critical: always verify catchment zones directly with the relevant education department and individual schools; boundaries change regularly and enrolment is not guaranteed.

6. Business Directory Listings

To advertise you must hold a valid ABN or ACN, be a legitimate operating business, comply with applicable business and advertising laws, provide accurate business information, and hold necessary licenses. Listings must accurately describe your services, include current contact information, use your own business name and logo, comply with Australian Consumer Law, and not contain misleading or deceptive claims.

Listings must not promote illegal goods or services, make false or unsubstantiated claims, violate professional codes, engage in bait advertising, contain discriminatory content, or infringe third-party IP.

Free Listings provide basic directory presence subject to availability. Premium Subscriptions provide enhanced visibility and features, require monthly or annual payment, are subject to a separate subscription agreement, and auto-renew unless canceled. When you receive inquiries you must respond promptly and professionally, are responsible for how you use customer information, must comply with privacy laws and your own privacy policy, and may not spam or harass prospective customers. We may remove listings for breach, credible complaints, non-payment, unlicensed status, or prohibited content.

7. Payment Terms (Advertiser Subscriptions)

Pricing is as displayed on our website and/or at checkout, or in the applicable Listing Agreement. Pricing may change with 30 days notice. All fees are in Australian Dollars (AUD), displayed exclusive of GST unless stated, with GST added at checkout where applicable.

Unless we expressly state otherwise, standard payment processing fees are included in the advertised price. Payments are processed via Stripe (PCI-DSS Level 1 certified) with automatic recurring billing for subscriptions, secure encrypted transactions, and no storage of complete credit card numbers on HALP servers. Subscriptions auto-renew unless canceled; you will be charged on your billing date each period; payment failures may result in suspension; you must maintain valid payment information.

Cancellation takes effect at end of current billing period. No partial refunds for unused time. No refunds for voluntary cancellations. Pro-rata refunds for technical issues preventing access. Refunds processed within 14 business days. If payment fails we will attempt multiple times, may suspend your account after 7 days, and may remove your listing after 14 days; you remain liable for unpaid fees.

8. Intellectual Property Rights

All content and materials on our platforms are owned by HALP or licensed to us, including logos and trademarks (HALP, House And Land Packages, Boutique Developments), website design, software and algorithms, text/graphics/images/videos, data compilations and databases, and school zone data aggregations.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our platforms for personal, non-commercial purposes. You may not reproduce, distribute, or publicly display our content without permission, modify or create derivative works, use content for commercial purposes, or remove proprietary notices.

When you submit content (reviews, testimonials, forum posts), you retain ownership and grant us a worldwide, royalty-free license to use, reproduce, modify, and display it. You represent you have rights to grant this license. For copyright infringement claims, contact legal@halp.com.au with details and proof of ownership.

9. Disclaimers and Limitations

HALP does not provide financial, mortgage, or investment advice. Our calculators and tools provide estimates only, for general information, and should not replace professional advice. We do not provide legal or tax advice — consult a qualified solicitor/conveyancer, licensed tax professional, or licensed financial advisor. We are not licensed real estate agents; we do not provide valuations, buying/selling advice, or guarantee investment returns.

HALP facilitates connections but does not control third-party conduct, is not responsible for their actions, does not guarantee service quality, and is not party to your contracts with third parties. Information may contain errors or be outdated; we are not liable for decisions based on our information. We do not guarantee continuous access, error-free operation, or absence of viruses. Our platform relies on third-party services (AWS, Stripe) — we are not responsible for their failures.

10. Limitation of Liability

To the maximum extent permitted by law, HALP and its directors, officers, employees, and agents are not liable for direct damages (lost profits, revenue, data, opportunities, cost of substitute services); indirect damages (consequential, incidental, special, punitive); or any damage arising from use or inability to use our services, errors, third-party conduct, unauthorized access, interruptions, or property transactions.

Where liability cannot be excluded by law, our total liability is limited to $100 AUD for free services, or for paid services the lesser of $1,000 AUD or the amount you paid us in the 12 months prior to the claim. Nothing in these Terms excludes rights under the Australian Consumer Law that cannot be excluded. Where the ACL applies, our liability for breach of consumer guarantees is limited to (at our option) re-supplying the services or paying the cost of re-supply.

You agree to indemnify and hold harmless HALP and its affiliates from claims arising from your breach of these Terms, violation of laws or third-party rights, use of our services, content you submit, or interactions with users or third parties.

11. Dispute Resolution

Before initiating legal proceedings, contact us at legal@halp.com.au, allow 30 days to investigate, and engage in good faith discussions. These Terms are governed by the laws of New South Wales, Australia, with exclusive jurisdiction in NSW courts. Optional arbitration is available in Sydney under Australian Dispute Resolution Association (ADRA) rules. To the extent permitted by law, class actions are waived. Nothing prevents either party from seeking injunctive relief for IP infringement, confidentiality breach, prohibited activities, or irreparable harm.

12. Property Inquiry Flow and Advertiser Obligations

Important: when you submit a property listing inquiry, your information is sent directly to the listing agent/developer. HALP does not store, read, or process these inquiries (property-listing forms only — other platform forms, including Contact Us, Join Us, and Advertise With Us, are handled by HALP as described in Section 12.3). The advertiser becomes responsible for your information and their privacy policy governs its use. HALP cannot retrieve, modify, or delete inquiries sent to advertisers.

What HALP does: provides technology infrastructure, routes inquiries in real time, does not store inquiry content, acts as a conduit only. What HALP does not do: store inquiries, access or read content, share with other parties, control advertiser use, or guarantee advertiser response times.

For platform forms (Contact Us, Join Us, Advertise With Us), HALP collects and stores your information in our CRM systems (Pipedrive, ActiveCampaign), with supporting documents possibly in Google Drive. Our Privacy Policy governs this data. By using any inquiry form you acknowledge that property listing inquiries go directly to advertisers; the advertiser will receive your contact information; you should review their privacy policy; HALP is not responsible for advertiser data handling; platform inquiries are managed by HALP per our Privacy Policy.

Advertisers agree to handle inquiries in accordance with applicable privacy laws, maintain their own privacy policy, use inquiry information only for legitimate business purposes, not spam or harass, and comply with Australian Consumer Law. HALP is not responsible for advertiser compliance but may remove listings of advertisers who violate these terms.

13. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement. If any provision is invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions continue in full force. Our failure to enforce any provision does not waive our right to enforce that or any other provision in the future. You may not assign or transfer these Terms without our written consent; we may assign to any affiliate or in connection with a merger, acquisition, or sale of assets.

These Terms do not create rights for third parties unless explicitly stated. We may provide notices by email, website posting, or in-app notifications. Legal notices must be sent to House And Land Packages Pty Ltd, 235 Glen Huntly Road, Elsternwick VIC 3185, or legal@halp.com.au. These Terms are written in English; any translation is for convenience only.

14. Special Terms for Specific Services

Mortgage calculators provide estimates only, use average interest rates and standard assumptions, may not account for all fees, do not consider your personal situation, and should not replace professional financial advice. Actual loan terms are determined by lenders.

School zone information is aggregated from public government databases, provided "as is" without warranty of accuracy, subject to change without notice, and for research purposes only. Always verify with the relevant state education department, the specific school, and local council planning departments. Enrolment is not guaranteed by living in a catchment zone.

By subscribing to property alerts you consent to receive emails and SMS notifications based on your saved search criteria; you can modify or cancel anytime. When we connect you with mortgage brokers, we may receive a referral fee or commission; brokers are independent third parties; we do not guarantee loan approval; you are free to use any broker; brokers must be licensed and comply with responsible lending laws.

16. Definitions

Platform: all HALP websites, mobile applications, and related services. User: any person or entity that accesses or uses our services. Content: all information, text, images, data, software, and materials on our platforms. Property Provider: developers, builders, real estate agents, and other entities listing properties. Advertiser: professionals and businesses advertising in our directory. Personal Information: as defined in the Privacy Act 1988. Listing: any property advertisement, business directory entry, or content posted.
